Forms1 GENERAL These are the terms and conditions under which we agree to act as filming agent between “The Property” and “The Film Company/Photographer”. They shall be deemed to be accepted as soon as Sarah Eastel Locations “ The Agent” has introduced the Property to the Film Company/Photographer as a location for the specified project. A valid introduction occurs at the time when images or exact details of the Property have been provided to the Film Company/Photographer by Sarah Eastel Locations.
2 FEES In consideration of our acting as agent for the purposes described herein, Sarah Eastel Locations will charge a commission fee on any filming/photography fee negotiated between the Property and the Film Company/Photographer. Notwithstanding any other provision of this Agreement "the Agent" shall not be liable to " the property" for any indirect or consequential loss or damage .
3 PAYMENT The payments referred to in Clause 2 payable strictly before filming commences to Sarah Eastel Locations. Payment will then be made to the location owner minus filming commission.
4 CONFIDENTIALITY The introduction of the “Property” is confidential. Information regarding the “Property” will only be passed to the Film Company/Photographer after consultation with the Property. We will not market any parts of the “Property” which are Excluded Areas as may be detailed in the location questionnaire. You agree to keep at all times any information in relation to the conduct of our business as filming agents confidential and will not disclose the same to any other party without written consent.
5 OUR OBLIGATIONS We undertake to use all reasonable endeavours to promote and to solicit customers for the use of the Property as a location in relation to filming/photography and to cultivate and maintain good relations with customers and potential customers in accordance with sound commercial principles. On behalf of the “Property” we will negotiate fees to be paid by the “Film Company/Photographer”. As necessary we will negotiate the terms of the contract on behalf of the “Property”. We agree to observe any reasonable directions given by you to us in relation to the performance of our duties hereunder, and to act at all times in such manner as we reasonably consider being in your best interests. Subject to the above, we shall be entitled to perform our duties in such a manner as we in our reasonable discretion think fit. We acknowledge that we are not authorised to bind you in any way to any liability or obligation in relation to the Film Company/Photographer or to pledge your credit in any way without your prior consent.
6 YOUR OBLIGATIONS You warrant to the agent that you have the necessary authority to appoint us as your agent for the purposes described in these terms and conditions, to allow us access to the “Property” and to enter into any contract for the use of the “Property” as a filming/photography location, or that if you do not, or do not solely have such authority, you will notify us of the identity of the person or persons who have such authority. You undertake to allow reasonable access to potential customers introduced to you by us in order to view the “Property”. The “Property” owner agrees that the “Agent “shall have the right to publicise for the purpose of obtaining work for the Premises, photographs of the Premises in the “Agents” Photographic library. During filming the "property" will ensure a "property" representative is present to ensure contractual obligations are adhered to by the hirer.
7 EXCLUSIONS The “Property” acknowledges there is no certainty that as the “Agent” to be able to find a Film Company/Photographer who wishes to use the “Property” as a filming/photography location. You acknowledge that we act for other property owners in our capacity as filming agents and accordingly nothing contained in these terms and conditions shall be construed so as to require us to act solely on your behalf.
8 JURISDICTION These Terms and Conditions shall be interpreted in accordance with English Law and the parties agree to submit to the jurisdiction of the English Court
